Overview
Basecamp Process Components, LLC (“BPC,” “we,” “us” or “our”) operates this store and website, including its information, content, features, tools, products and services (collectively, the “Services”). The store is powered by Shopify.
These Terms of Service, together with the policies referenced below, govern your access to and use of the Services. By accessing the Services, requesting a quotation or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility, Authority and Account Information
You must be at least the age of majority in your state or province to use the Services. If you use the Services on behalf of a company or other organization, you represent that you are authorized to act on its behalf and bind it to these Terms.
You agree to provide accurate, current and complete contact, billing, payment, shipping and application information. You are responsible for protecting your account credentials and for activity conducted through your account.
2. Quotations and Application Inquiries
A request for quotation, application inquiry, product-selection request or other communication submitted through the Services is not an order and does not obligate BPC to supply any product.
Any quotation issued by BPC may contain additional pricing, payment, delivery, cancellation or other terms. If a written quotation, order acknowledgment or separately signed agreement conflicts with these Terms, the transaction-specific written terms will control for that transaction.
You are responsible for ensuring that the operating conditions, media, materials, dimensions, connections, pressures, temperatures, flow ranges, electrical requirements and other application information you provide are accurate and complete.
3. Products and Technical Information
BPC distributes industrial flow-control, process-equipment and related products. Product descriptions, images, dimensions, specifications, selection guidance and other technical information are provided for general product-evaluation purposes.
BPC may provide technical assistance based on information supplied by you. Such assistance does not replace your engineering review, hazard analysis, regulatory review, installation requirements or responsibility for determining whether a product is appropriate for the application.
You are responsible for verifying product suitability, material compatibility, sizing, installation requirements, operating limits and compliance with applicable codes, standards and regulations before purchasing, installing or using a product.
Product appearance, specifications, materials, dimensions and availability may be changed by the manufacturer without notice. When information on the store conflicts with a BPC quotation, order acknowledgment or current manufacturer documentation, contact BPC for clarification before ordering or installing the product.
4. Orders and Acceptance
Submitting an order is an offer to purchase. An automated order confirmation only confirms that Shopify received the order; it does not constitute final acceptance by BPC.
An order is accepted when BPC confirms acceptance or begins processing the order. Acceptance may be subject to payment authorization, credit approval, product availability and verification of pricing, specifications and shipping requirements.
BPC may reject, modify or cancel an order because of product availability, pricing or description errors, payment issues, shipping restrictions, suspected fraud or other reasonable business considerations. If BPC cancels an order after collecting payment, BPC will refund the amount collected for the canceled portion of the order.
Cancellation requests are not guaranteed after an order has been accepted, processed, sourced, configured or shipped. Returns and refunds are governed by our Return and Refund Policy.
5. Prices, Payment and Billing
Unless otherwise stated, store prices are displayed in U.S. dollars. Prices, discounts and product availability may change without notice.
Posted prices do not include shipping, taxes, duties, brokerage fees, customs charges or other government charges unless expressly stated. Charges applicable to an online purchase will be presented during checkout when they can be calculated.
You represent that you are authorized to use the payment method submitted and that the billing information is accurate. You agree to pay all amounts associated with an accepted order.
Pricing provided in a written quotation may differ from online pricing because of quantities, configuration, project requirements, freight or other transaction-specific considerations.
6. Shipping, Delivery and Risk of Loss
Shipping and delivery dates are estimates unless BPC expressly agrees otherwise in writing. BPC is not responsible for delays caused by manufacturers, carriers, customs authorities, supply disruptions or events outside BPC’s reasonable control.
Unless otherwise agreed in writing, title and risk of loss pass to the customer when the product is tendered to the carrier. The customer is responsible for loss or damage not covered by applicable carrier or shipment insurance.
This allocation of risk does not affect BPC’s responsibility to tender the product identified in the accepted order or any rights that cannot be waived under applicable law.
Canadian customers are responsible for import duties, taxes, brokerage fees and customs charges unless BPC agrees otherwise in writing.
Available shipping services and rates are displayed during checkout when applicable. Contact info@bpcvalves.com before ordering if you require a particular carrier, service or shipping account. Additional information is provided in our Shipping Policy.
7. Returns and Refunds
Products that have been used or installed are not eligible for return. All other return and refund requests are reviewed individually and require prior written authorization from BPC.
Submitting a return or refund request does not guarantee approval. Complete requirements are provided in our Return and Refund Policy.
8. Limited Product Obligations; Disclaimer of Warranties
BPC’s product obligation is limited to supplying products that materially conform to the accepted order and the written product description applicable to that order. BPC does not provide or adopt any separate product warranty, and technical assistance, product recommendations, application discussions and manufacturer information do not create a separate warranty by BPC.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS ARE PROVIDED “AS IS” AND “WITH ALL FAULTS.” BPC DISCLAIMS ALL OTHER WARRANTIES, REPRESENTATIONS AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, NON-INFRINGEMENT AND WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE.
THE CUSTOMER IS RESPONSIBLE FOR VERIFYING PRODUCT SELECTION, SIZING, MATERIAL COMPATIBILITY, OPERATING LIMITS, INSTALLATION REQUIREMENTS AND SUITABILITY FOR THE INTENDED APPLICATION.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the fullest extent permitted by law.
9. Limitation of Liability
To the fullest extent permitted by applicable law, BPC and its owners, officers, employees, affiliates, agents, contractors and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, lost production, downtime, loss of use, loss of data, replacement costs or business interruption, arising from the Services or any product purchased through them.
To the fullest extent permitted by law, BPC’s total liability relating to a product or transaction will not exceed the amount paid to BPC for the specific product giving rise to the claim.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
10. Intellectual Property and Permitted Use
The Services and their original text, graphics, photographs, videos, designs and other content are owned by or licensed to BPC and are protected by applicable intellectual-property laws.
You may access, download and use product information and technical resources for legitimate internal business evaluation, purchasing, installation and maintenance purposes. You may not reproduce, republish, sell, modify or commercially exploit store content without authorization from BPC or the applicable rights holder.
AKO, Titan Enterprises, VNE, BVC, Shopify and other manufacturer or service-provider names, marks and logos belong to their respective owners.
11. Third-Party Tools and Links
The Services may provide access to third-party tools, websites, documents or resources. BPC does not control and is not responsible for third-party content, availability, security, accuracy, products, services or policies.
Links to manufacturer websites and technical resources are provided for convenience and supporting information. You are responsible for reviewing applicable third-party terms and verifying that external technical information is current.
12. Relationship With Shopify
Basecamp Process Components, LLC is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Basecamp Process Components, LLC.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Basecamp Process Components, LLC, including any injury, damage or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with Basecamp Process Components, LLC.
13. Privacy
Personal information collected through the Services is governed by our Privacy Policy. Certain information is also processed by Shopify according to the Shopify Consumer Privacy Policy.
14. Feedback and Submissions
If you submit product feedback, reviews, suggestions, photographs or other content, you represent that you have the right to provide it and that it does not violate applicable law or another party’s rights.
You grant BPC a nonexclusive, worldwide, royalty-free license to use, reproduce and display that content for operating, improving and promoting the Services. BPC is not obligated to publish, retain or respond to submitted content.
15. Errors, Inaccuracies and Omissions
The Services may occasionally contain typographical errors, inaccurate specifications, incorrect pricing, incomplete descriptions or outdated availability information.
BPC may correct errors, update information or cancel an affected order. If BPC cancels an order because of an error after payment has been collected, BPC will refund the amount collected for the canceled portion.
16. Prohibited Uses and Automated Access
You may use the Services only for lawful purposes. You may not:
- Violate applicable laws or regulations;
- Infringe intellectual-property, privacy or other legal rights;
- Transmit malicious code or interfere with the operation or security of the Services;
- Attempt to gain unauthorized access to accounts, systems or data;
- Submit false, misleading or fraudulent information;
- Impersonate another person or organization;
- Use automated means in violation of published robots directives, crawler instructions, access restrictions or technical controls;
- Use automation to bypass security measures, rate limits, CAPTCHAs or authorization requirements; or
- Use the Services in a manner that could damage BPC, Shopify, other users or third parties.
17. Export and Regulatory Compliance
You are responsible for complying with applicable import, export, sanctions, end-use and end-user restrictions. You may not purchase, export, re-export or transfer products in violation of applicable law.
BPC may decline or cancel a transaction when necessary to comply with legal, regulatory, manufacturer or shipping restrictions.
18. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless BPC and its owners, officers, employees, affiliates, agents and service providers from third-party claims, losses, damages and reasonable legal expenses arising from your violation of these Terms, violation of law, misuse of the Services or use of a product outside its stated operating limitations.
19. Suspension and Termination
BPC may restrict or terminate access to the Services if it reasonably determines that these Terms have been violated or that continued access could create legal, security or operational risk.
Termination does not eliminate payment obligations or provisions that by their nature should survive, including intellectual property, warranty disclaimers, limitations of liability, indemnification and governing law.
20. Severability, Waiver and Assignment
If a provision of these Terms is determined to be unlawful or unenforceable, it will be enforced to the fullest extent permitted and the remaining provisions will continue in effect.
BPC’s failure to enforce a provision is not a waiver of that provision. You may not assign your rights or obligations under these Terms without BPC’s written consent. BPC may assign these Terms in connection with a business transfer, reorganization or sale.
21. Entire Agreement and Order of Precedence
These Terms, the policies referenced in them and any applicable quotation or order acknowledgment constitute the agreement governing your use of the Services and purchases from the store.
If transaction-specific terms in a BPC quotation, order acknowledgment or separately signed agreement conflict with these Terms, the transaction-specific terms will control for that transaction.
22. Governing Law and Venue
Except where applicable law requires otherwise, these Terms and transactions with BPC are governed by the laws of the State of Ohio and applicable federal law, without regard to conflict-of-law principles.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or transactions with BPC.
You and BPC consent to the jurisdiction of the state and federal courts located in Ohio for disputes arising from these Terms or the Services, except where applicable law provides a non-waivable right to another jurisdiction or venue.
23. Changes to These Terms
BPC may update these Terms by posting a revised version on the store. Material changes will apply from the effective date stated in the updated Terms. Changes will not retroactively alter an accepted order unless required by law or agreed in writing.
